Q£ºWhat necessary Documents required for the application of RO?
A£º1. The original copy and one duplicate of the Application Form for the "Establishment of Representative Office of Foreign Enterprise" to be filled in by the applying company;
2.The original copy and one duplicate of the Application to be filled in by the applying company , which should include: a brief introduction to the enterprise, conditions of business links with China, reasons for establishing the office; name, address of the resident office in Guangzhou; representative's name; and the scope of business;
3.Two duplicates of legitimated Operation Certificate approved by the local government where the applying foreign enterprise is located (which shall be authenticated by China's embassy in the country with a Chinese version, except enterprises from Hongkong, Macau and Taiwan) .
4.The original copy and one duplicate of the credit certificate issued by the local bank where the applying enterprise is located, which should include: the account opening date, name list of the board of directors, signature by the authorized representative, amount of working fund, mortgage loan, general evaluation of the project, etc.
5.The original copy and one duplicate of the certificate of authorization signed and stamped by the enterprise's president of the board or general manager to the representative of the resident office (if the president of the board serves as a resident representative, it shall be authorized by at lease two of the board of directors);
6.The resume of the resident representative (from middle school graduation up to now, signed by his/her own to confirm), a copy of ID, passport and home-visit permit, four resent color certificate photos.(Large)
7.Copy of conditions of business links with China (such as business contracts, orders, etc.)
8.Duplicates of the leasing contract and relevant documents of the resident office in Guangzhou:
- Office in hotels: lease (original copy and one duplicate) and public security permit for foreign investors (duplicate) are required.
- Office in Commercial Buildings or Office Buildings: Lease registered by the House Management Bureau (original copy and one duplicate), public security permit for foreign investors (duplicate), property right certificate (duplicate) are required.
Q:What Documents for the Establishment of Chinese-foreign Joint Venture(JV) ?
A:Certificate of the project operation site;
Business licenses/certificates of registration of all parties (duplicates);
Credit certificates issued by the opening bank of the investor;
Valid identification papers of the legal representatives;
In the case of foreign investor(natural person), his/her valid identification paper/passport, resume and credit information;
Letter of intent signed by all parties;
Project registration prior to contract (with the Guangzhou Industrial and Commercial Administration);
A feasibility study report;
Operation Contract of Joint Venture/ Cooperative Enterprise;
Articles of Association;
Detailed list of goods and materials to be imported;
Technology transfer contract, trademark permit contract (if possible);
Name list of the board of directors;

Q:What is a Joint Venture ("JV") ?
A: A Joint Venture is a business arrangement in which the participants create a new business entity or official contractual relationship and share investment and operation expenses, management responsibilities, and profits and losses. The Chinese authorities encourage foreign investors to use this form of company in order to obtain exposure to advanced technology and new management skills. In return, foreign investors can enjoy low labour costs, low production costs and a potentially large Chinese market share. Joint Ventures are sometimes the only way to register in China if a certain business activity is still controlled by the government. e.g. Restaurants, Bars, Building and Construction, Car Production, Cosmetics etc.
Q: What is a Wholly Foreign-Owned Enterprise ("WFOE")?
A: A wholly foreign-owned enterprise is a business entity formed in China entirely with foreign capital, it is totally under foreign control and does not have any formal Chinese ownership participation. For a foreign company to be able to issue receipts and export goods from China, it must be able to legally registered as a local company or a WFOE. A WFOE is set up as limited liability entity and represents separate legal persons and taxed according to local legislation.
WFOE's can generally control their own governance through the articles of association and the normal minimum paid up share capital starts from 1 million RMB (approximately US$140,000), however, some provinces offer lower capital requirements in order to attract more foreign investment. Many foreign investors find this type of company attractive because of the full control and 100 percent ownership.
Q:How to apply for visa£¿
A:Aliens who wish to apply for extension or alteration of visa or certificates shall complete the following procedures.
1. Submit for examination their passports, visas and certificates.
2. Fill in application forms for extension or alteration.
3. Provide papers supporting reasons for extension or alteration.
Q:How many types of residence permit and how to apply for it in Guangzhou?
A£ºAliens' residence cards are issued to those who stay in China for one year or more. Aliens' temporary residence cards are issued to those who stay less than one year in China.
Aliens holding visas D, Z, X, or J-1 shall, within 30 days of entry into China, obtain aliens' residence cards from the city or county public security bureau at the place of their residence. The period of the validity of the aforementioned certificates is the duration of the holder' permitted stay in China.
Aliens holding visas F, L, G, C or J-2 may stay in China for the period prescribed in their visas without obtaining residence certificates.
In applying for residence certificates, aliens shall provide such information as requested and complete the following procedures.
Submit for examination their passports, visas and papers supporting their purposes of residence.
Fill in residence application form.
In applying for aliens' residence cards, submit for examination health certificates and recently-taken two-inch half-length , bareheaded, full-faced photos.
